Publisher Terms - AdgoHub

ADGOHUB – AFFILIATE TERMS & CONDITIONS

This Affiliate Terms & Conditions (“Agreement”, “Terms”) is a legal agreement between AdgoHub (“we”, “us”, “our”, the “Network”) and you, the Affiliate (also called “Publisher”, “you”, “your”) who registers to promote offers via AdgoHub’s system. By registering or participating, you agree to comply with and be bound by these Terms. If you disagree with any part, you should not use the services.

1. Definitions & Interpretation

In this Agreement:

  • Affiliate / Publisher: an individual or legal entity registered with AdgoHub to promote offers and drive traffic.
  • Advertiser / Client: the party providing offers, who pays for conversions, leads, sales, or other desired actions.
  • Offer / Campaign: a specific promotional program listed by Advertiser and managed through AdgoHub.
  • Conversion / Lead / Action / Sale: a user action defined by the offer’s terms (e.g. filling a form, purchase).
  • Clicks / Impressions: user interactions tracked by AdgoHub’s tracking system.
  • Payout / Commission: the amount payable to Affiliate for valid conversions or leads.
  • Tracking System: the technology (pixels, postbacks, SDKs, tracking links) used by AdgoHub to record activity.
  • Fraudulent Activity / Fraud: any artificial, manipulated, or invalid actions including but not limited to bots, click farms, incentivized traffic (if prohibited), misrepresentation, or any activity violating these Terms.

  • Net Payment / Net Terms: the payment terms after all adjustments, deductions, or validations.

2. Affiliate Rights & Obligations

  1. Registration & Eligibility

    • Affiliate must provide accurate, truthful, and complete registration information.
    • We reserve the right to accept or reject any application at our discretion.

  2. Offer Promotion
    • Affiliate is responsible for promoting offers only in jurisdictions where such promotion is lawful.
    • All promotional materials must comply with laws, regulations, and advertiser policies.
    • Affiliate may not alter offer creatives, tracking links, or URLs unless expressly permitted in writing by AdgoHub.
    • Using misleading, deceptive, or misrepresentative claims is strictly prohibited.

  3. Tracking & Reporting

    • AdgoHub’s tracking and reporting system is the sole and final record of affiliate activity and conversions, unless a credible audit proves otherwise.
    • Affiliate shall preserve all records (traffic sources, logs, campaigns) for a period of time (e.g. 12 months) to aid in audits or disputes.
    • Discrepancies must be raised within 15 days of payout reporting; otherwise, AdgoHub’s records stand.

  4. Prohibited Traffic & Behavior
     Affiliate must not use or engage in:
    • Fraudulent traffic (bots, click farms, automated software).
    • Incentivized traffic / reward-based traffic (unless explicitly allowed).
    • Misleading redirects, cloaking, “forced clicks” or pop-unders not user-initiated.
    • Promotion via spam, unsolicited email, unsolicited messaging, or violating anti-spam laws.
    • Placing offers in adult, gambling, or regulated content domains (unless allowed).
    • Using trademark / brand names in unauthorized ways (e.g. bidding on advertiser’s trademark keywords without permission).
    • Any traffic source or method banned by the Advertiser or AdgoHub (e.g. trial offers, fake downloads, cookie stuffing).

  5. Conversion Validation & Disputes
    • All conversions submitted by Affiliates are subject to validation by AdgoHub and the Advertiser.
    • AdgoHub may reject conversions if invalid, duplicate, fraudulent, or if they fail to meet offer criteria.
    • Affiliate agrees that rejected conversions will not be paid, and no appeal may succeed if proper evidence is not furnished.
    • In case of dispute, AdgoHub’s audit shall prevail unless Affiliate can present clear and convincing logs/proof.

  6. Payments & Payouts
    • AdgoHub will pay Affiliate commissions for valid conversions according to the payout rates and schedule specified in the offer or in the Affiliate’s dashboard.
    • Payments will be made in [Currency] via methods such as [bank transfer, PayPal, Payoneer, wire, crypto, etc.].
    • Standard net terms are Net [30] days (or as otherwise agreed).
    • Affiliate is responsible for any applicable taxes, fees, or charges associated with payments.
    • Minimum payout threshold: Affiliate must reach at least $100 before being eligible for withdrawal.
  7. Withholding & Deductions
    • AdgoHub may withhold funds for pending fraud review, chargebacks, or disputes.
    • If Affiliate is found in breach or fraudulent, AdgoHub may claw back or offset payments, withhold commissions, or terminate your account.
  8. Term & Termination
    • This Agreement begins when Affiliate is approved and continues until terminated.
    • Either party may terminate the Agreement at any time with written notice.
    • Upon termination, Affiliate must cease promotion of all offers, remove all links, creatives, and references to AdgoHub and advertisers.
    • Any pending valid commissions (after audit) will be paid per normal schedule, but AdgoHub may offset any damages or fraudulent charges.

3. Intellectual Property & Confidentiality

  • All creatives, banners, scripts, tracking links, and promotional assets provided by AdgoHub or advertisers remain the intellectual property of AdgoHub or advertisers.
  • Affiliate may only use them for approved promotion and must not copy, distribute, or reuse for unauthorized purposes.
  • Affiliate must maintain confidentiality of all non-public information (e.g. payout rates, offer details, advertiser data).
  • Affiliate shall not disclose such information to third parties without express written consent.

4. Limitations of Liability & Indemnification

  1. Limitation of Liability
    • AdgoHub does not guarantee earnings, performance, or stability of offers.
    • In no event will AdgoHub’s total liability exceed the sum of commissions actually paid to Affiliate in the preceding three (3) months.
    • AdgoHub is not liable for indirect, incidental, consequential, punitive, or special damages (e.g. loss of profit, loss of data).
  2. Indemnification
    • Affiliate agrees to indemnify, defend, and hold harmless AdgoHub, its officers, employees, agents, and affiliates, from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from your breach of this Agreement or violations of law.
    • This includes liability arising from claims brought by advertisers, users, or third parties.

5. Audit & Monitoring

  • AdgoHub may monitor traffic, review logs, and audit Affiliate’s promotional activity to detect fraud or non-compliance.
  • Affiliate must cooperate with audits, providing requested logs, records, or proofs within a reasonable timeframe (e.g. within 10 business days).
  • Failure to comply may result in withholding or loss of payment and termination.

6. Amendments & Updates

  • AdgoHub may amend or revise these Terms at any time, with notice (via email or dashboard).
  • Continued use of the network after changes constitutes acceptance of the updated Terms.
  • Affiliate is encouraged to regularly review the Terms.

7. Miscellaneous Provisions

  • If any clause is found unenforceable, the remainder of the Agreement remains valid.
  • Affiliate may not assign or transfer its rights or obligations to third parties without our prior written consent.
  • This Agreement constitutes the entire agreement between the parties regarding Affiliate promotion of offers and supersedes any prior agreements.
  • Notices must be in writing via email or system messaging and will be deemed delivered upon send (or within a defined period).
